Terms of Service

1. Agreement to Terms

By accessing or using FENN's services, including our website, manufacturing services, and any related communications, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you (the "Client") and FENN regarding your use of our ceramic manufacturing and product development services.

2. Services Overview

FENN provides design-led ceramic manufacturing services, including but not limited to:

• Product system planning and consultation
• Custom ceramic product development
• Prototyping and sampling services
• Scalable manufacturing and production
• Quality control and compliance support
• Packaging design and global logistics

All services are provided on a business-to-business (B2B) basis and are subject to separate agreements, quotes, and specifications.

3. Client Responsibilities

Clients engaging with FENN agree to:

• Provide accurate and complete information regarding product specifications, requirements, and intended use
• Respond to communications and approval requests in a timely manner to avoid production delays
• Ensure that all provided designs, trademarks, and intellectual property do not infringe on third-party rights
• Accept responsibility for final product approval before mass production
• Comply with all applicable laws and regulations in their jurisdiction regarding product safety, labeling, and marketing

4. Quotations and Orders

All quotations provided by FENN are valid for 30 days from the date of issue unless otherwise stated. Quotations are subject to change based on material costs, production volume, and design complexity.

Orders are confirmed upon receipt of:

• Signed quotation or purchase order
• Required deposit payment (typically 30-50% of total order value)
• Final approved specifications and artwork

Production timelines begin only after all requirements are met and deposit is received.

5. Pricing and Payment Terms

Payment terms are specified in individual quotations and agreements. Standard terms include:

• Deposit payment upon order confirmation
• Balance payment before shipment
• Payment methods: Bank transfer (T/T), Letter of Credit (L/C), or other mutually agreed methods

Late payments may incur additional charges and may delay production or shipment. FENN reserves the right to suspend services for accounts with overdue balances.

6. Production Timeline

Production timelines are estimates based on current capacity and material availability. Typical timelines include:

• Sampling: 14-30 days after specification approval
• Mass production: 45-90 days after sample approval and deposit receipt

FENN will make reasonable efforts to meet agreed timelines but is not liable for delays caused by force majeure, material shortages, client delays in approvals, or other circumstances beyond our control.

7. Quality Control and Acceptance

FENN implements structured quality control processes based on AQL (Acceptable Quality Limit) standards. Products are inspected before shipment according to agreed specifications.

Clients must inspect goods upon receipt and report any defects or discrepancies within 7 days of delivery. Claims made after this period may not be accepted.

Natural variations in handmade ceramic products (such as glaze reactions, color variations, and minor surface imperfections) are inherent to the craft and do not constitute defects unless they significantly affect functionality or safety.

8. Intellectual Property

Client IP: Clients retain ownership of their trademarks, logos, and proprietary designs provided to FENN. FENN will not use Client IP for any purpose other than fulfilling the agreed services.

FENN IP: FENN retains ownership of its proprietary manufacturing processes, product systems (including CALM FORMS™, STORY VESSELS™, and EVERYDAY SYSTEM™), technical documentation, and any designs created by FENN unless otherwise agreed in writing.

Collaborative Designs: For custom product development, ownership of designs will be specified in individual agreements.

9. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of collaboration, including but not limited to:

• Product designs and specifications
• Pricing and commercial terms
• Manufacturing processes and techniques
• Business strategies and plans

This obligation survives termination of the business relationship and remains in effect for a period of 3 years.

10. Limitation of Liability

FENN's liability is limited to the value of the specific order in question. FENN is not liable for:

• Indirect, consequential, or incidental damages
• Loss of profits, revenue, or business opportunities
• Product recalls or market issues resulting from client's use or marketing of products
• Issues arising from client-provided specifications or designs

Clients are responsible for ensuring products meet all regulatory requirements in their target markets and for obtaining appropriate insurance coverage.

11. Compliance and Certifications

FENN products are manufactured in compliance with applicable international standards including FDA, LFGB, and EU food contact regulations. FENN facilities maintain certifications including BSCI and SMETA.

Clients are responsible for verifying that products meet specific requirements for their target markets and obtaining any additional certifications or testing as needed.

12. Termination

Either party may terminate ongoing collaboration with 30 days written notice, subject to fulfillment of existing orders and payment obligations.

FENN reserves the right to terminate services immediately if:

• Client fails to make required payments
• Client provides false or misleading information
• Client requests products that violate laws or regulations
• Client engages in behavior that damages FENN's reputation or business

13. Modifications to Terms

FENN reserves the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised "Last Updated" date. Continued use of our services after changes constitutes acceptance of modified Terms.

For significant changes affecting existing orders, FENN will provide direct notice to affected clients.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People's Republic of China. Any disputes arising from these Terms or our services shall be resolved through:

1. Good faith negotiation between parties
2. Mediation by a mutually agreed third party
3. Arbitration in accordance with international commercial arbitration rules
